Terms of Services
Effective Date: July 20, 2025
1. PREAMBLE AND ACCEPTANCE
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Digital Ventures OÜ ("Company", "we", "us", "our"), the operator of the Lync.me platform (the "Platform").
By registering for, accessing, or using the Platform, you confirm that:
- You have read, understood, and agreed to be bound by these Terms.
- You are at least 18 years of age and have the legal capacity to enter into binding contracts.
- You consent to the collection and use of your data as outlined in our Privacy Policy.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE PLATFORM.
2. NATURE OF THE SERVICE (EU DSA NOTIFICATION)
2.1 Hosting Service Provider Status
Under the EU Digital Services Act (Regulation (EU) 2022/2065) ("DSA"), Lync.me operates strictly as a "Hosting Service Provider". We provide a digital infrastructure that allows Users to store and disseminate information (including service listings, external links, and blog posts) to the public.
2.2 Intermediary Role
Lync.me acts solely as a technical intermediary. We do not:
- Provide the services advertised by Users.
- Employ or retain the Service Providers listed on the Platform.
- Create, edit, or proactively monitor User-generated content (except as required by law).
- Guarantee the accuracy, safety, or legality of any User service or blog post.
3. USER ACCOUNTS AND SECURITY
3.1 Registration
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration.
3.2 Business vs. Consumer Status (EU Consumer Law)
Upon registration, you must truthfully indicate whether you are using the Platform as:
- A Consumer (acting for purposes outside your trade, business, craft, or profession); or
- A Trader/Business User (acting for purposes relating to your trade, business, craft, or profession).
Failure to declare your status as a Trader violates EU Consumer Protection laws (Directive 2011/83/EU & Omnibus Directive) and these Terms.
3.3 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You accept full responsibility for all activities that occur under your account.
4. USER OBLIGATIONS AND LIABILITY (CRITICAL)
You acknowledge that Lync.me is a community-driven platform. As such, you assume sole and exclusive responsibility for the following:
4.1 Compliance with Laws
You must comply with all applicable local, national, and EU laws, including but not limited to:
- Immigration & Visa Laws: Ensuring you have the legal right to work or offer services in your country of residence.
- Taxation (DAC7): You are solely responsible for declaring income, collecting VAT/GST, and paying all applicable taxes. You acknowledge that Lync.me may be legally obligated to report your earnings to tax authorities under EU Directive 2021/514 (DAC7).
- Licensing: You warrant that you hold all necessary professional licenses, certifications, and insurance required to provide your listed services.
4.2 Accuracy of Content (Blog Posts & Knowledge Base)
The Platform allows Users to share "knowledge," "guides," and "blog posts."
- User Warranty: You warrant that any information you post is accurate, up-to-date, and not misleading.
- Outdated Information: You acknowledge that information posted by you or others may become outdated. Lync.me accepts no liability for reliance on outdated, incorrect, or incomplete advice found on the Platform. Users are responsible for archiving or updating their own content.
4.3 External Links
The Platform allows Users to share links to third-party websites. You acknowledge that Lync.me has no control over external sites. You share and access these links at your own risk.
4.4 Service Delivery
If you offer services through Lync.me:
- You are the sole contracting party with your client.
- You are responsible for performance, cancellations, refunds, and dispute resolution.
- You must provide clients with a clear Right of Withdrawal policy where required by EU Consumer Law.
5. PROHIBITED CONTENT AND CONDUCT (DSA COMPLIANCE)
You may not use the Platform to store, share, or disseminate Illegal Content or content that violates our policies.
5.1 Prohibited Content Includes:
- Illegal Hate Speech (racism, xenophobia).
- Terrorist Content.
- Child Sexual Abuse Material (CSAM).
- Unsafe/Illegal Products: Services or goods that do not comply with EU safety standards (GPSR).
- Intellectual Property Infringement: Content that violates copyright or trademark laws.
- Disinformation: Intentional manipulation designed to deceive.
5.2 Notice and Action Mechanism
In compliance with the DSA, any person may report Illegal Content to us via our Reporting Tool (accessible on every listing page).
- We will review reported content in a timely, diligent, and objective manner.
- If content is found to be illegal or in violation of these Terms, we may remove it or disable access to it.
6. CONTENT MODERATION AND REDRESS
6.1 Right to Moderate
We reserve the right to remove content or suspend accounts that violate these Terms, without prior notice, subject to Article 17 of the DSA.
6.2 Statement of Reasons
If we restrict your content or suspend your account, we will provide a Statement of Reasons detailing:
- The specific restriction applied.
- The facts and circumstances relied upon.
- The legal or contractual ground for the decision.
- Your options for redress.
6.3 Internal Complaint Handling System
If you disagree with a moderation decision, you may lodge a complaint through our Internal Complaint Handling System within six (6) months of the decision. We will review the complaint under the supervision of qualified staff (not solely automated means).
7. INTELLECTUAL PROPERTY
7.1 User License
You retain ownership of the content you post. However, by posting content, you grant Lync.me a worldwide, non-exclusive, royalty-free, transferable license to use, display, reproduce, and distribute your content solely for the purpose of operating and promoting the Platform.
7.2 Platform IP
All Platform designs, code, graphics, and trademarks are the property of Digital Ventures OÜ. You may not copy or reverse-engineer any part of the Platform.
8. FEES AND PAYMENTS
8.1 Fees
Lync.me reserves the right to charge fees for premium features or subscriptions ("Pro Plans"). All fees are non-refundable unless otherwise required by law.
8.2 Changes to Pricing
We may modify subscription fees at any time. We will provide reasonable notice before any price change takes effect. Continued use of the service constitutes agreement to the new fees.
9. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY EU LAW:
- THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
- WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- WE DO NOT WARRANT THAT THE CONTENT (INCLUDING BLOG POSTS) IS ACCURATE, RELIABLE, OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; OR THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIGITAL VENTURES OÜ SHALL NOT BE LIABLE FOR:
- USER ACTIONS: ANY LOSS OR DAMAGE ARISING FROM YOUR INTERACTIONS WITH OTHER USERS, INCLUDING FAILED SERVICE DELIVERY, NON-PAYMENT, OR DISPUTES.
- CONTENT ACCURACY: ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT OR "KNOWLEDGE" SHARED BY USERS.
- DATA LOSS: ANY LOSS OF DATA RESULTING FROM UNAUTHORIZED ACCESS OR SYSTEM FAILURE.
- INDIRECT DAMAGES: ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.
Specific Liability Cap: If Lync.me is found liable specifically for a failure of its own digital hosting duties (and not User actions), our total liability shall be limited to the amount you paid us, if any, in the past six (6) months.
11. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Lync.me and its employees from any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Platform.
- Your violation of any term of these Terms.
- Your violation of any third-party right, including any copyright, property, or privacy right.
- Any claim that your Content caused damage to a third party.
12. GOVERNING LAW AND JURISDICTION
12.1 Governing Law
These Terms shall be governed by the laws of Estonia, without regard to its conflict of law provisions.
12.2 Jurisdiction
Any dispute arising from these Terms shall be settled exclusively by the courts of Tallinn, Estonia, unless you are a consumer residing in another EU Member State, in which case mandatory consumer protection laws of your country of residence may apply.
12.3 ODR Platform
If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution (ODR) platform: http://ec.europa.eu/consumers/odr/.
